1. Vertragsparteien

Der Projektvertrag wird geschlossen zwischen: Buyer (Einkäufer) und Seller (Anbieter) Price4Parts ist nicht Vertragspartei dieses Vertrags.

4. Allgemeine Geschäftsbedingungen (AGB)

Es gelten die jeweils aktuellen Fassungen der genannten Dokumente, wie sie auf der Plattform veröffentlicht sind.

3. Rolle der Plattform

Price4Parts stellt ausschließlich eine technische Plattform zur Verfügung.

Verträge über Fertigungsleistungen entstehen ausschließlich zwischen Buyer und Seller. Price4Parts wird nicht Vertragspartei dieser Verträge. Price4Parts übernimmt keine Verantwortung für:

• Angebotserstellung
• Preisgestaltung
• Produktion
• Lieferzeiten
• Vertragserfüllung
• Qualität der gelieferten Produkte
• Price4Parts übernimmt keine Verantwortung für das Zustandekommen oder den wirtschaftlichen Erfolg des Projekts. Die Sicherheit der Nutzerkonten liegt im Verantwortungsbereich der jeweiligen Nutzer. Price4Parts übernimmt keine Haftung für Schäden, die aus unbefugten Zugriffen auf Nutzerkonten entstehen. Auch eine Unterstützung durch Price4Parts bei der Kommunikation, technischen Abwicklung oder Nutzung der Plattformfunktionen begründet keine Verantwortlichkeit von Price4Parts für den Projekterfolg, die Vertragserfüllung oder einzelne Leistungen der Vertragsparteien. Automatisierte Prozesse der Plattform, insbesondere Matching, algorithmische Zuordnung von Anbietern oder Projekten sowie sonstige systemseitige Vorschläge, stellen keine inhaltliche Bewertung, Empfehlung oder Einflussnahme dar. Price4Parts übernimmt keine Verantwortung für Auswahlentscheidungen, Vertragsabschlüsse oder wirtschaftliche Ergebnisse.

4. Vertragsgegenstand

Herstellung, Bearbeitung, Beschaffung, Montage, Entwicklung oder Lieferung von Produkten, Bauteilen, Werkzeugen, Formen, Prototypen, Baugruppen oder Serienprodukten gemäß:

• Projektbeschreibung
• technischen Unterlagen
• Angebot des Sellers

5. Technische Daten

Buyer stellt technische Informationen bereit.

5a. Technische Daten

Der Buyer ist allein verantwortlich für die Richtigkeit, Vollständigkeit und technische Umsetzbarkeit der bereitgestellten technischen Daten. Der Seller ist verpflichtet, diese Daten eigenständig zu prüfen. Price4Parts übernimmt keinerlei Haftung für Fehler in technischen Daten oder daraus resultierende Schäden. Die Übermittlung und Speicherung technischer Daten kann über externe Systeme erfolgen. (z. B. Cloudinary oder vergleichbare Datei- und Datenverarbeitungssysteme) Price4Parts übernimmt keine Haftung für Datenverluste oder Sicherheitsvorfälle außerhalb des eigenen Einflussbereichs. Der Buyer garantiert, dass er über sämtliche erforderlichen Rechte an den bereitgestellten technischen Daten verfügt. Der Buyer stellt sicher, dass durch die Nutzung, Verarbeitung oder Herstellung auf Grundlage dieser Daten keine Rechte Dritter verletzt werden. Price4Parts übernimmt keine Haftung für Verletzungen von Schutzrechten Dritter. Die technische Verarbeitung übermittelte Daten kann auch unter Einsatz automatisierter oder KI-gestützter Systeme sowie externer technischer Dienstleister erfolgen.

5b. Vertraulichkeitsvereinbarung (NDA)

Die Parteien können über die Plattform eine gesonderte Vertraulichkeitsvereinbarung (NDA) abschließen. Eine solche Vereinbarung wird ausschließlich zwischen Buyer und Seller geschlossen und gilt ergänzend zu diesem Vertrag. Price4Parts ist nicht Vertragspartei dieser Vereinbarung und übernimmt keine Verantwortung für deren Inhalt, Wirksamkeit, Durchsetzung oder Einhaltung.

5c. Werkzeugbau und Formen

Sofern ein Projekt die Herstellung, Nutzung, Änderung oder Lagerung von Werkzeugen, Formen, Vorrichtungen oder vergleichbaren Betriebsmitteln um3

fasst, sind Eigentum, Nutzungsrechte, Lagerung, Wartung, Herausgabe, Ersatzbeschaffung und Folgekosten ausschließlich zwischen Buyer und Seller zu vereinbaren. Price4Parts übernimmt hierfür keine Verantwortung und wird nicht Vertragspartei entsprechender Vereinbarungen.

6. Angebot und Auftrag

Der Vertrag entsteht mit Annahme des Angebots durch den Buyer.

7. Preise

Die Preise ergeben sich aus dem Angebot des Sellers.

8. Zahlungsbedingungen

Zahlungen erfolgen über externe Zahlungsdienstleister, insbesondere Stripe. Es gelten ergänzend die jeweiligen Bedingungen des Zahlungsdienstleisters. Price4Parts ist kein Zahlungsdienstleister und wird nicht Vertragspartei im Rahmen der Zahlungsabwicklung. Price4Parts hat zu keinem Zeitpunkt Zugriff auf die Zahlungsströme und verwaltet keine Gelder. Die Zahlungsabwicklung erfolgt ausschließlich zwischen Buyer und Seller über den jeweiligen Zahlungsdienstleister. Die Rechnungsstellung erfolgt ausschließlich durch den Anbieter.

(1) Zahlungsabwicklung

Die technische Abwicklung der Zahlung kann über externe Zahlungsdienstleister erfolgen. Die jeweiligen Bedingungen des Zahlungsdienstleisters (z. B. Stripe) gelten ergänzend.

(2) Zahlungsfreigabe

Die Freigabe der Zahlung erfolgt:

• durch ausdrückliche Bestätigung des Buyers, oder
• automatisch, sofern keine Einwendung erfolgt. Mit der Freigabe der Zahlung bestätigt der Buyer, dass die Leistung vertragsgemäß erbracht wurde.

(3) Automatische Freigabe

Erfolgt innerhalb von 14 Tagen nach Übermittlung der Versand- oder Leistungsbestätigung durch den Seller keine ausdrückliche Einwendung des Buyers, gilt die Leistung als akzeptiert und die Zahlung kann automatisch freigegeben werden. Als Übermittlung gilt insbesondere die Bereitstellung entsprechender Informationen oder Statusmeldungen über die Plattform.

(4) Einwendungen

Einwendungen gegen die Leistung sind vom Buyer innerhalb der oben genannten Frist gegenüber dem Seller geltend zu machen. Nach erfolgter Freigabe der Zahlung sind Einwendungen hinsichtlich der Leistungserbringung ausschließlich gegenüber dem Seller geltend zu machen. Ansprüche gegenüber Price4Parts bestehen insoweit nicht.

(5) Risikobasierte Einschränkungen

Die Zahlungsabwicklung kann technischen, regulatorischen oder risikobasierten Einschränkungen unterliegen. Solche Einschränkungen können sich insbesondere aus den Plattformbedingungen von Price4Parts oder aus Vorgaben externer Zahlungsdienstleister (z. B. Stripe) ergeben. Dies umfasst insbesondere Einschränkungen hinsichtlich Zahlungsbeträgen, Zahlungsarten, Zahlungsfreigaben oder Transaktionsvolumen. Ein Anspruch auf bestimmte Zahlungsarten, Zahlungsfreigaben oder Transaktionsumfänge besteht nicht.

(6) Verantwortung

Price4Parts übernimmt keine Haftung für:

• Zahlungsabwicklungen über externe Zahlungsdienstleister

• Verzögerungen, Einbehalte oder Ausfälle von Zahlungen

• Chargebacks oder Rückbelastungen

• Entscheidungen oder Prüfprozesse externer Zahlungsdienstleister

• Die Rechnungsstellung erfolgt ausschließlich durch den Anbieter.

• Die Zahlungsabwicklung kann über die Plattform Price4Parts und deren Zahlungsdienstleister erfolgen, ohne dass Price4Parts selbst Vertragspartner der Leistung wird.

9. Lieferung

Der Seller ist verantwortlich für Herstellung, ordnungsgemäße und transportsichere Verpackung sowie Versand.

9a. Abnahme

Der Buyer ist verpflichtet, die gelieferte Leistung unverzüglich nach Erhalt zu prüfen. Eine Abnahme liegt vor, wenn:

• der Buyer die Leistung ausdrücklich bestätigt, oder
• innerhalb von 14 Tagen nach Übermittlung der Versand- oder Leistungsbestätigung durch den Seller keine wesentlichen Mängel angezeigt werden. Als Übermittlung gilt insbesondere die Bereitstellung entsprechender Informationen oder Statusmeldungen über die Plattform. Unwesentliche Mängel berechtigen nicht zur Verweigerung der Abnahme. Mit der Abnahme gilt die Leistung als vertragsgemäß erbracht.

9b. Mängel und Rügefrist

Der Buyer ist verpflichtet, offensichtliche Mängel unverzüglich, spätestens jedoch innerhalb von 14 Tagen nach Lieferung, gegenüber dem Seller anzuzeigen. Verdeckte Mängel sind unverzüglich nach Entdeckung anzuzeigen. Unterbleibt eine rechtzeitige Mängelanzeige, gilt die Leistung als genehmigt. Mängelansprüche bestehen ausschließlich zwischen Buyer und Seller. Price4Parts ist nicht verpflichtet, Mängel zu prüfen, zu bewerten oder zu bearbeiten.

9c. Gefahrübergang

Sofern zwischen Buyer und Seller nichts anderes vereinbart ist, geht die Gefahr des zufälligen Untergangs oder der zufälligen Verschlechterung der Ware mit Übergabe an das Transportunternehmen auf den Buyer über. Der Seller ist verpflichtet, die Ware transportsicher zu verpacken. Sofern eine Abweichung (z. B. Incoterms) vereinbart wurde, gelten die zwischen Buyer und Seller vereinbarten Lieferbedingungen. Price4Parts ist nicht verantwortlich für Transport, Versand oder Gefahrübergang.

9d. Teillieferungen

Teillieferungen sind zulässig, soweit sie für den Buyer zumutbar sind. Jede Teillieferung kann gesondert abgenommen und berechnet werden. Sofern nichts anderes vereinbart ist, gelten Teillieferungen als eigenständige Leistungen im Sinne dieses Vertrags.

9e. Lieferverzug

Vereinbarte Liefertermine sind verbindlich, sofern sie ausdrücklich als verbindlich bezeichnet wurden. Im Falle eines Lieferverzugs hat der Buyer dem Seller eine angemessene Nachfrist zu setzen. Erst nach erfolglosem Ablauf dieser Nachfrist kann der Buyer gesetzliche Rechte geltend machen. Price4Parts übernimmt keine Haftung für Lieferverzögerungen.

9e. Umwelt und Entsorgungspflichten

Der Seller ist verantwortlich für die Einhaltung sämtlicher umwelt- und abfallrechtlicher Vorschriften im Zusammenhang mit Herstellung, Verpackung, Lieferung und etwaiger Rücknahme der Produkte. Der Seller erfüllt eigenständig etwaige gesetzliche Rücknahme-, Kennzeichnungsoder Registrierungspflichten. Der Buyer ist für die ordnungsgemäße Entsorgung der gelieferten Produkte verantwortlich, sofern keine gesetzliche Rücknahmepflicht des Sellers besteht. Price4Parts übernimmt keine Verpflichtungen im Zusammenhang mit Entsorgung, Rücknahme oder umweltrechtlichen Vorschriften.

Die Parteien stellen Price4Parts von sämtlichen Ansprüchen frei, die aus Verstößen gegen umwelt- oder abfallrechtliche Vorschriften resultieren.

10. Gewährleistung

Die Gewährleistung richtet sich ausschließlich nach der Vereinbarung zwischen Buyer und Seller. Der Seller ist verantwortlich für:

• vertragsgemäße Herstellung
• Einhaltung der technischen Spezifikationen
• Mangelfreiheit der gelieferten Produkte Der Buyer ist verpflichtet, die Leistung ordnungsgemäß zu prüfen und Mängel gemäß den vereinbarten Fristen anzuzeigen. Price4Parts übernimmt keine Gewährleistung und ist nicht verantwortlich für:
• Produktqualität
• Materialeigenschaften
• Maßhaltigkeit
• Funktionalität
• Lieferverzögerungen
• sonstige Leistungsabweichungen Gewährleistungsansprüche bestehen ausschließlich zwischen Buyer und Seller.

11. Haftung

Price4Parts haftet nicht für Produktions- oder Lieferprobleme. 11a. Haftungsbegrenzung zwischen Buyer und Seller Soweit gesetzlich zulässig, ist die Haftung zwischen Buyer und Seller auf den jeweiligen Auftragswert begrenzt. Die Haftung für mittelbare Schäden, entgangenen Gewinn oder Produktionsausfälle ist ausgeschlossen, soweit gesetzlich zulässig. Individuelle Vereinbarungen zwischen Buyer und Seller gehen vor.

12. Vertraulichkeit

Technische Daten sind vertraulich zu behandeln.

13. Geistiges Eigentum

Rechte verbleiben beim jeweiligen Rechteinhaber.

14. Exportkontrolle

Seller ist verantwortlich für:

• Exportklassifizierung
• Einholung erforderlicher Exportgenehmigungen
• Einhaltung von Exportkontrollgesetzen Buyer ist verantwortlich für:
• korrekte Angaben zum Endnutzer
• rechtmäßige Nutzung der Produkte Price4Parts stellt lediglich die Plattform bereit und übernimmt keine Verantwortung für Export-Compliance. Ergänzend gelten die Exportkontroll- und Sanktionsregelungen gemäß den Allgemeinen Geschäftsbedingungen der Plattform. Produkthaftung und Herstellerverantwortung Der Seller gilt als Hersteller der gelieferten Produkte im Sinne der anwendbaren Produkthaftungsgesetze. Der Seller ist verantwortlich für:
• Konstruktion
• Herstellung
• Qualität
• Sicherheit
• Konformität der gelieferten Produkte. Buyer ist verantwortlich für die sachgemäße Verwendung der gelieferten Produkte.

Price4Parts übernimmt keine Hersteller- oder Produkthaftung.

16. Streitigkeiten

Streitigkeiten werden ausschließlich zwischen Buyer und Seller geklärt.

17. Recht

Es gilt deutsches Recht.

18. Salvatorische Klausel

Sollte eine Bestimmung unwirksam sein, bleibt der Rest gültig.

• General Terms and Conditions (including Buyer provisions and Usage Policy)
• Supplier Framework Agreement
• Fee Schedule
• Privacy Policy In the event of conflicts between the applicable documents, the following order of precedence shall apply: Individual supplementary agreements (in particular Beta or special agreements) Project Agreement Supplier Framework Agreement General Terms and Conditions (GTC) Fee Schedule Privacy Policy The respective current versions of the aforementioned documents, as published on the platform, shall apply.

3. Role of the Platform

Price4Parts exclusively provides a technical platform. Contracts for manufacturing services are concluded exclusively between Buyer and Seller. Price4Parts does not become a party to these contracts. Price4Parts assumes no responsibility for:

• preparation of quotations
• pricing
• production
• delivery times
• performance of the contract
• quality of the delivered products
• Price4Parts assumes no responsibility for the conclusion or economic success of the project. The security of user accounts is the responsibility of the respective users. Price4Parts assumes no liability for damages resulting from unauthorized access to user accounts. Any support provided by Price4Parts in connection with communication, technical processing or the use of platform functions does not establish any responsibility on the part of Price4Parts for the success of the project, performance of the contract or individual services of the contracting parties. Automated processes of the platform, in particular matching, algorithmic assignment of suppliers or projects as well as other system-generated suggestions, do not constitute any substantive assessment, recommendation or influence. Price4Parts assumes no responsibility for selection decisions, contract conclusions or economic results.

4. Subject Matter of the Agreement

Manufacture, processing, procurement, assembly, development or delivery of products, components, tools, molds, prototypes, assemblies or series products in accordance with:

• project description
• technical documentation
• Seller’s quotation

5. Technical Data

Buyer provides technical information.

5a. Technical Data

The Buyer is solely responsible for the accuracy, completeness and technical feasibility of the technical data provided. The Seller is obliged to independently review this data. Price4Parts assumes no liability whatsoever for errors in technical data or damages resulting therefrom. The transmission and storage of technical data may take place via external systems. (e.g. Cloudinary or comparable file and data processing systems) Price4Parts assumes no liability for data loss or security incidents outside its own sphere of influence. The Buyer guarantees that they possess all necessary rights to the technical data provided. The Buyer shall ensure that the use, processing or manufacture based on this data does not infringe any third-party rights. Price4Parts assumes no liability for infringements of third-party intellectual property rights. The technical processing of transmitted data may also take place using automated or AI-supported systems as well as external technical service providers.

5b. Confidentiality Agreement (NDA)

The parties may conclude a separate Confidentiality Agreement (NDA) via the platform. Such an agreement is concluded exclusively between Buyer and Seller and shall apply in addition to this Agreement. Price4Parts is not a party to such agreement and assumes no responsibility for its content, validity, enforcement or compliance.

5c. Toolmaking and Molds

If a project includes the manufacture, use, modification or storage of tools, molds, fixtures or comparable operating equipment, ownership, rights of use, storage, maintenance, return, replacement procurement and subsequent costs shall be agreed exclusively between Buyer and Seller. Price4Parts assumes no responsibility in this regard and does not become a party to any corresponding agreements.

6. Quotation and Order

The contract is concluded upon acceptance of the quotation by the Buyer.

7. Prices

The prices are determined by the Seller’s quotation.

8. Payment Terms

Payments are processed via external payment service providers, in particular Stripe. The respective terms of the payment service provider shall apply in addition. Price4Parts is not a payment service provider and does not become a party to the contract in connection with payment processing. Price4Parts has no access to payment flows at any time and does not manage any funds. Payment processing takes place exclusively between Buyer and Seller via the respective payment service provider. Invoicing is carried out exclusively by the Seller.

(1) Payment Processing

The technical processing of the payment may be carried out via external payment service providers. The respective terms of the payment service provider (e.g. Stripe) shall apply in addition.

(2) Payment Release

Payment shall be released: by express confirmation of the Buyer, or automatically, provided no objection is raised. By releasing the payment, the Buyer confirms that the service has been performed in accordance with the contract.

(3) Automatic Release

If the Buyer does not raise an express objection within 14 days after transmission of the shipping or performance confirmation by the Seller, the service shall be deemed accepted and the payment may be released automatically. Transmission shall include in particular the provision of corresponding information or status notifications via the platform.

(4) Objections

Objections regarding the service must be asserted by the Buyer against the Seller within the aforementioned period. After payment has been released, objections regarding the performance of the service must be asserted exclusively against the Seller. No claims against Price4Parts shall exist in this respect.

(5) Risk-Based Restrictions

Payment processing may be subject to technical, regulatory or risk-based restrictions. Such restrictions may arise in particular from the platform terms of Price4Parts or from requirements imposed by external payment service providers (e.g. Stripe). This includes in particular restrictions regarding payment amounts, payment methods, payment releases or transaction volumes. There is no entitlement to specific payment methods, payment releases or transaction volumes.

(6) Responsibility

Price4Parts assumes no liability for: payment processing via external payment service providers delays, holds or failures of payments chargebacks or reversals decisions or review processes of external payment service providers Invoicing is carried out exclusively by the Seller. Payment processing may take place via the Price4Parts platform and its payment service providers without Price4Parts itself becoming a contractual party to the service.

9. Delivery

The Seller is responsible for manufacture, proper and transport-safe packaging as well as shipping.

9a. Acceptance

The Buyer is obliged to inspect the delivered service immediately upon receipt. Acceptance shall be deemed to have occurred if: the Buyer expressly confirms the service, or no material defects are reported within 14 days after transmission of the shipping or performance confirmation by the Seller. Transmission shall include in particular the provision of corresponding information or status notifications via the platform. Minor defects do not entitle the Buyer to refuse acceptance. Upon acceptance, the service shall be deemed to have been performed in accordance with the contract.

9b. Defects and Notification Period

The Buyer is obliged to notify the Seller of obvious defects immediately, but no later than within 14 days after delivery. Hidden defects must be reported immediately upon discovery. If defects are not reported in due time, the service shall be deemed approved. Claims for defects exist exclusively between Buyer and Seller. Price4Parts is not obliged to inspect, assess or process defects.

9c. Transfer of Risk

Unless otherwise agreed between Buyer and Seller, the risk of accidental loss or accidental deterioration of the goods shall pass to the Buyer upon handover to the transport company. The Seller is obliged to package the goods securely for transport. If a deviation (e.g. Incoterms) has been agreed, the delivery terms agreed between Buyer and Seller shall apply. Price4Parts is not responsible for transportation, shipping or transfer of risk.

9d. Partial Deliveries

Partial deliveries are permitted insofar as they are reasonable for the Buyer.

Each partial delivery may be separately accepted and invoiced. Unless otherwise agreed, partial deliveries shall be deemed independent services within the meaning of this Agreement.

9e. Delivery Delay

Agreed delivery dates are binding insofar as they have expressly been designated as binding. In the event of a delivery delay, the Buyer shall grant the Seller a reasonable grace period. Only after unsuccessful expiry of this grace period may the Buyer assert statutory rights. Price4Parts assumes no liability for delivery delays.

9e. Environmental and Disposal Obligations

The Seller is responsible for compliance with all environmental and waste law regulations in connection with the manufacture, packaging, delivery and any return of the products. The Seller shall independently fulfill any statutory take-back, labeling or registration obligations. The Buyer is responsible for the proper disposal of the delivered products unless the Seller is subject to a statutory take-back obligation. Price4Parts assumes no obligations in connection with disposal, take-back or environmental regulations. The parties shall indemnify Price4Parts against all claims resulting from violations of environmental or waste law regulations.

10. Warranty

The warranty shall be governed exclusively by the agreement between Buyer and Seller. The Seller is responsible for: manufacture in accordance with the contract compliance with the technical specifications freedom from defects of the delivered products The Buyer is obliged to properly inspect the service and report defects in accordance with the agreed periods.

Price4Parts provides no warranty and is not responsible for: product quality material properties dimensional accuracy functionality delivery delays other deviations in performance Warranty claims exist exclusively between Buyer and Seller.

11. Liability

Price4Parts is not liable for production or delivery problems.

11a. Limitation of Liability between Buyer and

Seller To the extent legally permissible, liability between Buyer and Seller is limited to the respective order value. Liability for indirect damages, loss of profits or production downtime is excluded to the extent legally permissible. Individual agreements between Buyer and Seller shall take precedence.

12. Confidentiality

Technical data shall be treated as confidential.

13. Intellectual Property

Rights shall remain with the respective rights holder.

14. Export Control

Seller is responsible for:

• export classification

• obtaining required export authorizations

• compliance with export control laws Buyer is responsible for:

• accurate information regarding the end user

• lawful use of the products Price4Parts merely provides the platform and assumes no responsibility for export compliance. In addition, the export control and sanctions provisions pursuant to the General Terms and Conditions of the platform shall apply.

15. Product Liability and Manufacturer

Responsibility The Seller shall be deemed the manufacturer of the delivered products within the meaning of the applicable product liability laws. The Seller is responsible for:

• design
• manufacture
• quality
• safety
• conformity of the delivered products. Buyer is responsible for the proper use of the delivered products. Price4Parts assumes no manufacturer or product liability.

16. Disputes

Disputes shall be resolved exclusively between Buyer and Seller.

17. Law

German law shall apply.

18. Severability Clause

Should any provision be invalid, the remainder shall remain valid.
