1 Preise und Steuern

Für Unternehmer innerhalb der Europäischen Union kann das ReverseCharge-Verfahren gemäß den jeweils geltenden umsatzsteuerlichen Vorschriften Anwendung finden. Alle angegebenen Gebühren verstehen sich zuzüglich der jeweils geltenden gesetzlichen Umsatzsteuer (VAT), sofern nicht anders angegeben. Der Nutzer ist verpflichtet, eine gültige Umsatzsteuer-Identifikationsnummer anzugeben und deren Richtigkeit sicherzustellen. Nutzer sind selbst verantwortlich für die korrekte steuerliche Behandlung der über die Plattform abgewickelten Transaktionen.

1a Plattformrolle

Price4Parts ist nicht Vertragspartei der zwischen Nutzern geschlossenen Verträge. Die Gebühren beziehen sich ausschließlich auf die Nutzung der Plattform sowie auf die Bereitstellung technischer Dienstleistungen. Price4Parts übernimmt keine Verantwortung für die über die Plattform abgeschlossenen Geschäfte, deren Durchführung oder deren wirtschaftlichen Erfolg. Die Gebühren begründen keinen Anspruch auf eine erfolgreiche Vermittlung oder wirtschaftlichen Erfolg. Die vom Anbieter gegenüber dem Käufer erbrachten Leistungen werden ausschließlich durch den Anbieter abgerechnet. Die von Price4Parts erhobenen Gebühren betreffen ausschließlich die Nutzung der Plattform sowie die Vermittlung und sind unabhängig von der Leistungsabrechnung zwischen Anbieter und Käufer. Price4Parts ist nicht Leistungserbringer der über die Plattform angebotenen Leistungen.

1b Gebührenpflicht unabhängig von Nutzung

Die vereinbarten Gebühren sind unabhängig von der tatsächlichen Nutzung der Plattform geschuldet. Eine Einschränkung, Sperrung oder Beendigung des Zugangs zur Plattform – insbesondere aufgrund von Verstößen gegen die Plattformbedingungen – begründet keinen Anspruch auf Rückerstattung, Minderung oder anteilige Erstattung bereits gezahlter Gebühren.

1c Preisanpassung

Price4Parts ist berechtigt, die Gebühren mit Wirkung für zukünftige Vertragszeiträume anzupassen. Die jeweils aktuellen Preise gelten für neue Verträge sowie für bestehende Verträge ab dem Zeitpunkt der jeweiligen Vertragsverlängerung. Über Änderungen wird der Nutzer rechtzeitig informiert. Sofern eine Preisanpassung während der laufenden Vertragslaufzeit erfolgt, wird der Nutzer hierüber informiert. In diesem Fall ist der Nutzer berechtigt, den Vertrag bis zum Zeitpunkt des Wirksamwerdens der Änderung außerordentlich zu kündigen.

1d Affiliate-Programme

Price4Parts kann Provisionen an Affiliate-Partner oder sonstige Vertriebspartner zahlen. Diese Provisionen haben keinen Einfluss auf die vom Nutzer zu zahlenden Gebühren.

2 Free Access

Price4Parts kann einen kostenlosen Zugang zur Plattform bereitstellen. Der Leistungsumfang richtet sich nach der jeweils aktuellen Beschreibung auf der Plattform. Der kostenlose Zugang kann insbesondere hinsichtlich Funktionen, Speicherplatz, Sichtbarkeit, Anzahl der Listings, Fertigungsverfahren, Lieferländer, Kommunikationsmöglichkeiten, Projektanfragen sowie weiterer Plattformfunktionen beschränkt sein. Nutzer des kostenlosen Zugangs haben keinen Anspruch auf eine bestimmte Sichtbarkeit, Priorisierung, Anzahl von Anfragen oder wirtschaftlichen Erfolg.

Price4Parts ist berechtigt, den kostenlosen Zugang sowie dessen Leistungsumfang jederzeit mit Wirkung für die Zukunft zu ändern, einzuschränken oder einzustellen. Ein Anspruch auf dauerhafte unentgeltliche Nutzung einzelner Funktionen besteht nicht. Eine missbräuchliche Nutzung des kostenlosen Zugangs, insbesondere durch das Anlegen mehrerer Accounts oder zur Umgehung kostenpflichtiger Tarife, ist unzulässig. Anbieter mit kostenfreien Tarifen können gegenüber kostenpflichtigen Tarifen hinsichtlich Sichtbarkeit, Matching, Priorisierung sowie des Funktions- und Leistungsumfangs unterschiedlich behandelt werden.

2a Supplier Access

Die monatliche Gebühr für den Zugang zur Plattform („Supplier Access“) beträgt 149 €. Der Supplier Access umfasst die Nutzung der Plattform zur Darstellung des Unternehmens sowie zur Teilnahme am digitalen Anfrage- und Auftragsprozess einschließlich direkter Kommunikationsmöglichkeiten mit Auftraggebern. Im Supplier Access enthalten sind:

• Zugang zum Supplier Dashboard
• Einrichtung und Verwaltung eines Unternehmensprofils
• Veröffentlichung und Verwaltung von Listings (Angeboten)
• Sichtbarkeit für 1 gewähltes Fertigungsverfahren
• Als Fertigungsverfahren gelten insbesondere CNC-Bearbeitung, 3DDruck, Spritzguss, Werkzeugbau, Blechbearbeitung, Schweißarbeiten, Oberflächenbehandlung, Gussverfahren, Montageleistungen, Elektronikfertigung sowie weitere von Price4Parts freigegebene Verfahren.
• Sichtbarkeit für Lieferanfragen aus 1 Land (Liefergebiet)
• 20 aktive Listings Darüber hinaus umfasst der Supplier Access folgende Leistungen:
• Teilnahme am Anfrage- und Matching-System der Plattform
• algorithmische Zuordnung zu passenden Anfragen basierend auf den hinterlegten Unternehmens- und Leistungsdaten
• Empfang und Bearbeitung von konkreten Produktionsanfragen (RFQs)
• Möglichkeit zur Abgabe von Angeboten auf eingehende Anfragen
• Nutzung der Kommunikationsfunktionen zur Abstimmung mit Auftraggebern
• Zugriff auf projektbezogene Informationen und Dokumente
• Unterstützung der digitalen Auftragsabwicklung über die Plattform

Ein Anspruch auf den Erhalt bestimmter Anfragen, Aufträge oder auf eine bestimmte Sichtbarkeit innerhalb der Plattform besteht nicht. Hinweis: Die Sichtbarkeit bezieht sich auf das jeweilige Lieferland. Anbieter werden ausschließlich für Anfragen aus den aktivierten Lieferländern berücksichtigt.

2b Lieferregionen und kontinentaler Geltungsbereich

Der Kontinent eines Lieferanten bestimmt sich nach dem Kontinent, in dem der Lieferant rechtlich niedergelassen ist. Zusätzliche Lieferländer können ausschließlich innerhalb dieses Kontinents einzeln gebucht werden. Lieferländer außerhalb des Kontinents des Lieferanten können nicht einzeln ausgewählt werden. Der Zugang zu solchen Regionen ist ausschließlich auf kontinentaler Ebene möglich und muss als vollständiger Kontinent gebucht werden. Diese Struktur dient der Sicherstellung einer fairen Marktteilnahme und verhindert einen selektiven Zugang zu einzelnen, besonders nachgefragten Ländern ohne entsprechende regionale Abdeckung. Ein Anspruch auf eine bestimmte Platzierung, Priorisierung oder algorithmische Bevorzugung innerhalb der Plattform besteht nicht.

3 Jahresvorauszahlung

Bei Vorauszahlung der monatlichen Grundgebühr für 12 Monate werden nur 10 Monate berechnet.

4 Marktzugang (Lieferland)

Die Erweiterung der Sichtbarkeit auf ein zusätzliches Lieferland innerhalb des Kontinents des Unternehmenssitzes beträgt 99 € pro Monat je Land. Die Sichtbarkeit bestimmt, für welche Lieferländer ein Anbieter im Rahmen von Anfragen berücksichtigt werden kann. Voraussetzung ist die angegebene Lieferfähigkeit in das jeweilige Land.

5 Growth Plan

Der Growth Plan beträgt 699 € pro Monat.

• Sichtbarkeit für Lieferanfragen aus mehreren Ländern innerhalb eines Kontinents
• 4 Fertigungsverfahren inkl.
• 40 Aktive Listings inkl. Der Growth Plan erhöht die Präsenz des Anbieters innerhalb der Plattform durch Erweiterung der angebotenen Leistungen und der gleichzeitig verfügbaren Angebote. Der Growth Plan umfasst die Sichtbarkeit innerhalb eines freigeschalteten Kontinents.

6 Enterprise Plan

Der Enterprise Plan beträgt 1999 € pro Monat. Leistungsumfang wie folgt:

• Internationale Sichtbarkeit innerhalb des Marktplatzes
• 8 Fertigungsverfahren inkl.
• 100 Aktive Listings inkl. Der Enterprise Plan ermöglicht eine umfassende Darstellung des Leistungsspektrums sowie eine erweiterte Teilnahme an internationalen Anfragen. Die internationale Sichtbarkeit begründet keine gezielte Marktausrichtung auf bestimmte Länder oder Regionen. Der Enterprise Plan ermöglicht die Freischaltung mehrerer Kontinente entsprechend den gebuchten Leistungen.

7 Zusatzleistungen

Folgende Zusatzleistungen können optional hinzugebucht werden:

• Zusätzliches Lieferland (Erweiterung des Liefergebiets): 99 € pro Monat je Land
• Zusätzliches Fertigungsverfahren: 99 € pro Monat je Verfahren
• Zusätzliches Listing: 9 € pro Monat je Listing Für Transaktionen kann eine Mindestgebühr festgelegt werden. Die jeweils geltende Mindestgebühr wird vor Abschluss eines Auftrags angezeigt.

7a Berechnungsgrundlage der Transaktionsgebühren Die Transaktionsgebühren werden auf den gesamten zwischen Buyer und Seller vereinbarten Netto-Auftragswert berechnet. Zum Netto-Auftragswert gehören insbesondere:

• Fertigungs- und Warenkosten
• Versand- und Transportkosten
• Verpackungskosten
• Werkzeug-, Rüst- und Einrichtungskosten
• Prüf-, Dokumentations- und Zertifizierungskosten
• sonstige projektbezogene Zusatzleistungen Nicht Bestandteil der Berechnungsgrundlage sind:
• die gesetzliche Umsatzsteuer
• sonstige gesetzliche Steuern und Abgaben
• behördliche Zölle und Einfuhrabgaben Maßgeblich ist der tatsächlich vereinbarte wirtschaftliche Gesamtwert des Projekts. Eine künstliche Aufteilung von Projektkosten zur Verringerung von Transaktionsgebühren ist unzulässig.

8 Transaktionsgebühren

Transaktionsgebühren fallen ausschließlich im Falle eines erfolgreich zustande gekommenen Auftrags an. Ein Auftrag gilt als erfolgreich zustande gekommen, wenn zwischen Auftraggeber und Auftragnehmer ein verbindlicher Vertrag geschlossen wurde. Dies gilt auch dann, wenn der Erstkontakt zwischen den Parteien über die Plattform erfolgt ist und der Vertrag anschließend außerhalb der Plattform zustande kommt. Ein Auftrag gilt als erfolgreich zustande gekommen, wenn: Die jeweils anfallenden Gebühren werden vor Abschluss des Auftrags vollständig angezeigt. Die Gebühren betragen: 8 % Buyer Fee auf Auftragswert 8 % Seller Fee auf Auftragswert Für höhere Auftragswerte können abweichende Gebührensätze gemäß §9 gelten.

Die Transaktionsgebühr wird mit Abschluss eines wirksamen Vertrages zwischen Buyer und Seller fällig. Die Verpflichtung zur Zahlung der Transaktionsgebühr besteht unabhängig davon, ob und wann der Buyer seine Zahlungsverpflichtung gegenüber dem Seller erfüllt. Die Parteien sind verpflichtet, Price4Parts sämtliche zur Berechnung der Gebühren erforderlichen Informationen wahrheitsgemäß mitzuteilen. Price4Parts ist berechtigt, geeignete Nachweise über den Auftragswert zu verlangen. Kommt ein Nutzer dieser Pflicht nicht nach, ist Price4Parts berechtigt, den Auftragswert nach billigem Ermessen zu schätzen. Im Falle einer nachträglichen Aufhebung, Kündigung oder Rückabwicklung eines Auftrags bleibt der Anspruch auf die Transaktionsgebühr bestehen, sofern der Auftrag ursprünglich wirksam zustande gekommen ist. Die Verpflichtung zur Zahlung der Transaktionsgebühren besteht unabhängig davon, ob die Zahlungsabwicklung über die Plattform oder außerhalb erfolgt.

10 Zahlungsabwicklung

Zahlungen erfolgen über externe Zahlungsdienstleister, insbesondere Stripe. Price4Parts ist kein Zahlungsdienstleister und hat keinen Zugriff auf die Gelder. Die Zahlungsabwicklung erfolgt ausschließlich zwischen den Nutzern und dem jeweiligen Zahlungsdienstleister. Plattformgebühren stehen ausschließlich Price4Parts zu. Price4Parts ist berechtigt, fällige Gebühren mit über die Plattform abgewickelten Zahlungen zu verrechnen, soweit dies technisch möglich ist.

Gebühren externer Zahlungsdienstleister können zusätzlich anfallen und werden entweder direkt zwischen dem Nutzer und dem Zahlungsdienstleister abgerechnet oder in den Transaktionsgebühren ausgewiesen. Zur technischen Absicherung von Transaktionen können Zahlungsfreigaben, Zurückhaltungen oder verzögerte Auszahlungen innerhalb der Systeme externer Zahlungsdienstleister vorgesehen sein. Price4Parts kann Plattformgebühren über die Systeme externer Zahlungsdienstleister technisch abbilden. Price4Parts ist nicht Partei der Zahlungsabwicklung und haftet nicht für Zahlungsstörungen, Verzögerungen, Einbehalte oder Rückbelastungen (Chargebacks). Die Freigabe von Zahlungen erfolgt durch den Buyer oder automatisch, sofern innerhalb von 14 Tagen nach Mitteilung der Leistungserbringung keine Einwendungen erfolgen. Mit der Freigabe der Zahlung bestätigt der Buyer die vertragsgemäße Leistungserbringung. Nach erfolgter Freigabe sind Einwendungen ausschließlich zwischen Buyer und Seller zu klären.

11 Abrechnung

Die Abrechnung erfolgt je nach Leistung monatlich im Voraus sowie transaktionsbezogen bei erfolgreicher Auftragsabwicklung. Bei Zahlungsverzug ist Price4Parts berechtigt, Verzugszinsen in gesetzlicher Höhe zu berechnen. Price4Parts ist berechtigt, den Zugang zur Plattform bis zur vollständigen Begleichung offener Forderungen einzuschränken oder zu sperren.

12 Vertragslaufzeit

Die Vertragslaufzeit ergibt sich aus dem Anbieter-Rahmenvertrag.

13 Gebührenänderungen

Price4Parts kann Gebühren mit 30 Tagen Frist anpassen.

Einzelheiten zum Verfahren der Gebührenanpassung, insbesondere zu Mitteilung, Widerspruchsrechten und möglichen Kündigungsfolgen, ergeben sich ergänzend aus den Allgemeinen Geschäftsbedingungen (AGB).

14 Rückerstattung

Bereits gezahlte Gebühren werden grundsätzlich nicht erstattet. Dies gilt auch im Falle einer Sperrung des Nutzerkontos oder einer vorzeitigen Beendigung der Nutzung durch den Nutzer.

15 Währung

Alle Preise in Euro.

16 Keine Erfolgs- oder Auftragsgarantie

Die in dieser Gebührenordnung geregelten Entgelte stellen keine Gegenleistung für eine erfolgreiche Vermittlung oder garantierte Auftragserteilung dar. Insbesondere besteht kein Anspruch auf:

• den Erhalt von Projektanfragen (RFQs)
• den Abschluss von Verträgen
• Umsätze oder eine bestimmte Auslastung Die Gebühren sind unabhängig vom tatsächlichen Vermittlungserfolg geschuldet.

17 Umgehungverbot

Nutzer dürfen Kontakte, Geschäftsbeziehungen oder Projektanfragen, die über die Plattform zustande gekommen sind, nicht außerhalb der Plattform für direkte Vertragsabschlüsse nutzen. Dies gilt insbesondere auch für Folgegeschäfte zwischen denselben Parteien innerhalb eines Zeitraums von 24 Monaten ab Erstkontakt. Ein Auftrag gilt auch dann als über die Plattform zustande gekommen, wenn der Erstkontakt zwischen den Parteien über die Plattform erfolgt ist, unabhängig davon, ob der Vertragsschluss später außerhalb der Plattform erfolgt.

Im Falle eines Verstoßes ist Price4Parts berechtigt, die entgangenen Transaktionsgebühren nachträglich zu berechnen sowie weitere vertragliche Maßnahmen zu ergreifen. Price4Parts ist berechtigt, bei Verstößen zusätzlich pauschalierte Schadensersatzforderungen geltend zu machen.

18 Missbrauch & Gebühren

Price4Parts behält sich vor, bei missbräuchlicher Nutzung der Plattform angemessene Zusatzgebühren zu erheben. Dies gilt insbesondere bei:

• massenhaften Anfragen ohne Abschlussabsicht
• Nutzung der Plattform zur reinen Markt- oder Preisanalyse
• Umgehungsversuchen der Plattformstruktur Weitergehende vertragliche Maßnahmen bleiben vorbehalten.

1 Prices and Taxes

For entrepreneurs within the European Union, the reverse charge procedure may apply in accordance with the applicable VAT regulations. All stated fees are exclusive of the applicable statutory value-added tax (VAT), unless otherwise stated. The user is obliged to provide a valid VAT identification number and to ensure its accuracy. Users are solely responsible for the correct tax treatment of transactions processed via the platform.

1a Platform Role

Price4Parts is not a party to the contracts concluded between users. The fees relate exclusively to the use of the platform and the provision of technical services. Price4Parts assumes no responsibility for transactions concluded via the platform, their execution or their economic success. The fees do not establish any entitlement to successful brokerage or economic success. The services provided by the Supplier to the Buyer are invoiced exclusively by the Supplier. The fees charged by Price4Parts relate exclusively to the use of the platform and brokerage and are independent of the invoicing of services between Supplier and Buyer. Price4Parts is not the service provider of the services offered via the platform.

1b Obligation to Pay Fees Regardless of Use

The agreed fees are owed regardless of the actual use of the platform.

Any restriction, suspension or termination of access to the platform – in particular due to violations of the platform terms – does not establish any entitlement to a refund, reduction or pro rata reimbursement of fees already paid.

1c Price Adjustment

Price4Parts is entitled to adjust the fees with effect for future contractual periods. The respective current prices shall apply to new contracts as well as to existing contracts from the time of the respective contract renewal. The user will be informed of changes in due time. If a price adjustment takes place during the current contractual term, the user will be informed accordingly. In this case, the user is entitled to terminate the contract extraordinarily up to the time the change takes effect.

1d Affiliate Programs

Price4Parts may pay commissions to affiliate partners or other sales partners. These commissions have no effect on the fees payable by the user.

2 Free Access

Price4Parts may provide free access to the platform. The scope of services is determined by the respective current description on the platform. Free access may be restricted in particular with regard to functions, storage space, visibility, number of listings, manufacturing processes, delivery countries, communication options, project inquiries and other platform functions. Users of free access have no entitlement to specific visibility, prioritization, number of inquiries or economic success. Price4Parts is entitled to change, restrict or discontinue free access and its scope of services at any time with effect for the future. There is no entitlement to the permanent free use of individual functions. Abusive use of free access, in particular by creating multiple accounts or for the purpose of circumventing paid plans, is not permitted. Suppliers with free plans may be treated differently from paid plans with regard to visibility, matching, prioritization and the scope of functions and services.

2a Supplier Access

The monthly fee for access to the platform (“Supplier Access”) is €149. Supplier Access includes the use of the platform for presenting the company and participating in the digital inquiry and order process, including direct communication options with clients. 2b Delivery Regions and Continental Scope

The continent of a Supplier is determined by the continent in which the Supplier is legally established. Additional delivery countries may only be booked individually within this continent. Delivery countries outside the Supplier’s continent cannot be selected individually. Access to such regions is possible exclusively at continental level and must be booked as an entire continent. This structure serves to ensure fair market participation and prevents selective access to individual countries with particularly high demand without corresponding regional coverage.

There is no entitlement to a specific placement, prioritization or algorithmic preference within the platform.

3 Annual Advance Payment

If the monthly base fee is paid in advance for 12 months, only 10 months will be charged.

4 Market Access (Delivery Country)

The extension of visibility to an additional delivery country within the continent of the company’s registered office costs €99 per month per country. Visibility determines the delivery countries for which a Supplier may be considered in connection with inquiries. The prerequisite is the stated ability to deliver to the respective country.

5 Growth Plan

The Growth Plan costs €699 per month. visibility for delivery inquiries from multiple countries within one continent 4 manufacturing processes included 40 active listings included The Growth Plan increases the Supplier’s presence within the platform by expanding the services offered and the offers simultaneously available. The Growth Plan includes visibility within one activated continent.

6 Enterprise Plan

The Enterprise Plan costs €1,999 per month. Scope of services as follows: international visibility within the marketplace 8 manufacturing processes included 100 active listings included The Enterprise Plan enables a comprehensive presentation of the range of services as well as expanded participation in international inquiries. International visibility does not constitute targeted market orientation toward specific countries or regions.

The Enterprise Plan enables the activation of multiple continents in accordance with the services booked.

7 Additional Services

The following additional services may optionally be booked: additional delivery country (extension of the delivery area): €99 per month per country additional manufacturing process: €99 per month per process additional listing: €9 per month per listing A minimum fee may be established for transactions. The applicable minimum fee will be displayed before an order is concluded.

7a Basis for Calculating Transaction Fees

Transaction fees are calculated on the total net order value agreed between Buyer and Seller. The net order value includes in particular: manufacturing and goods costs shipping and transportation costs packaging costs tooling, setup and installation costs inspection, documentation and certification costs other project-related additional services The following are not included in the basis of calculation: statutory value-added tax other statutory taxes and charges official customs duties and import charges The actually agreed total economic value of the project is decisive. Artificial splitting of project costs for the purpose of reducing transaction fees is not permitted.

8 Transaction Fees

Transaction fees are incurred exclusively in the event that an order is successfully concluded. An order is deemed to have been successfully concluded when a binding contract has been concluded between the client and the contractor. This also applies if the initial contact between the parties took place via the platform and the contract is subsequently concluded outside the platform. An order is deemed to have been successfully concluded when:

The respective applicable fees will be displayed in full before the order is concluded. The transaction fee becomes due upon conclusion of a valid contract between Buyer and Seller. The obligation to pay the transaction fee exists regardless of whether and when the Buyer fulfills their payment obligation toward the Seller. The parties are obliged to truthfully provide Price4Parts with all information required for calculating the fees. Price4Parts is entitled to request appropriate evidence of the order value. If a user fails to comply with this obligation, Price4Parts is entitled to estimate the order value at its reasonable discretion. In the event of a subsequent cancellation, termination or reversal of an order, the entitlement to the transaction fee shall remain in effect, provided that the order was originally validly concluded. The obligation to pay transaction fees exists regardless of whether payment processing takes place via the platform or outside the platform.

Payments are made via external payment service providers, in particular Stripe. Price4Parts is not a payment service provider and has no access to the funds.

Payment processing takes place exclusively between the users and the respective payment service provider. Platform fees are owed exclusively to Price4Parts. Price4Parts is entitled to offset due fees against payments processed via the platform, insofar as this is technically possible. Fees charged by external payment service providers may apply additionally and are either settled directly between the user and the payment service provider or shown as part of the transaction fees. For the technical safeguarding of transactions, payment releases, holds or delayed payouts may be provided for within the systems of external payment service providers. Price4Parts may technically implement platform fees via the systems of external payment service providers. Price4Parts is not a party to the payment processing and shall not be liable for payment disruptions, delays, holds or chargebacks. Payments are released by the Buyer or automatically if no objections are raised within 14 days after notification of the provision of the service. By releasing the payment, the Buyer confirms that the service has been provided in accordance with the contract. After the payment has been released, objections must be resolved exclusively between Buyer and Seller.

11 Billing

Billing takes place, depending on the service, monthly in advance as well as on a transaction-related basis upon successful order processing. In the event of late payment, Price4Parts is entitled to charge default interest at the statutory rate. Price4Parts is entitled to restrict or suspend access to the platform until outstanding claims have been paid in full.

12 Contract Term

The contract term is determined by the Supplier Framework Agreement.

13 Fee Changes

Price4Parts may adjust fees with 30 days’ notice. Details regarding the procedure for fee adjustments, in particular notification, rights of objection and possible consequences of termination, are additionally governed by the General Terms and Conditions (GTC).

14 Refund

Fees already paid are generally non-refundable. This also applies in the event of suspension of the user account or early termination of use by the user.

15 Currency

All prices are in euros.

16 No Guarantee of Success or Orders

The fees governed by this Fee Schedule do not constitute consideration for successful brokerage or a guaranteed award of orders. In particular, there is no entitlement to: receipt of project inquiries (RFQs) conclusion of contracts revenue or a specific level of capacity utilization The fees are owed regardless of the actual success of the brokerage.

17 Prohibition of Circumvention

Users may not use contacts, business relationships or project inquiries established via the platform for direct contract conclusions outside the platform. This applies in particular also to follow-up transactions between the same parties within a period of 24 months from the initial contact. An order shall also be deemed to have been concluded via the platform if the initial contact between the parties took place via the platform, regardless of whether the contract is subsequently concluded outside the platform.

In the event of a violation, Price4Parts is entitled to subsequently charge the lost transaction fees and to take further contractual measures. Price4Parts is entitled to additionally assert lump-sum claims for damages in the event of violations.

18 Abuse & Fees

Price4Parts reserves the right to charge reasonable additional fees in the event of abusive use of the platform. This applies in particular in the case of: mass inquiries without the intention of concluding a transaction use of the platform solely for market or price analysis attempts to circumvent the platform structure Further contractual measures remain reserved.
